While the Company intends to maintain the plans, the Company retains the right to amend or terminate every plan or benefit to the fullest extent allowed by law at any time, as it deems advisable, as to any or all of the employees, retirees, former employees or other participants or beneficiaries who are or may become covered. In fact, as a matter of prudent business planning, the Company periodically reevaluates the plans. Proposed changes that are periodically considered, if finally approved and implemented, might be more or less advantageous to you than the provisions of the current plan, depending on your individual circumstances. Because of the need for confidentiality, such proposals generally are discussed and evaluated only at the appropriate levels of management. Unless and until these proposals are formally adopted and announced by the Company, they are not binding. The Company may establish the effective date for any changes that are formally adopted. Data Privacy Consent A. By enrolling in the plan, and as a condition of participation in the plan, you expressly consent to the collection, use, and transfer of personal data as described in this section to the full extent permitted by and in full compliance with applicable law. B. You understand that your local employer holds, by means of an automated data file, certain personal information about you, including, but not limited to: name, home address, Global ID number, contribution balance, for the purpose of managing and administering the plan ("Data"). C. You further understand that part or all of your Data also may be held by Marsh & McLennan Companies and/or its subsidiaries or affiliates, pursuant to a transfer made in the past in respect of any previous plan year data, which was made for the same purposes of managing and administering of previous plan year data, or for other purposes. D. You further understand that your local employer will transfer Data to Marsh & McLennan Companies and/or its subsidiaries or affiliates among themselves as necessary for the purposes of implementation, administration, and management of your participation in the plan, and that the Marsh & McLennan Companies and/or its subsidiaries or affiliates may transfer data among themselves, and/or each, in turn, further transfer Data to any third parties assisting Marsh & McLennan Companies in the implementation, administration, and management of the plan ("Data Recipients"). E. You understand that Marsh & McLennan Companies and/or its subsidiaries or affiliates, as well as the Data Recipients, are or may be located in your country of residence or elsewhere, such as the United States which may not provide the same statutory level of protection for your Data as your own jurisdiction. You authorize Marsh & McLennan Companies and/or its subsidiaries or affiliates, as well as Data Recipients to receive, possess, use, retain, and transfer Data in electronic or other form, for the purposes of implementing, administering, and managing your participation in the plan, including and transfer of such Data, as may be required for the administration of the plan and/or the subsequent holding of shares on your behalf, to a broker or third party with whom the shares acquired in respect of the plan may be deposited. F. You understand that you may show your opposition to the processing and transfer of your Data, and may at any time review the Data, request that any necessary amendments be made to it, or withdraw your consent herein in writing by contacting Marsh & McLennan Companies. You further understand that withdrawing consent may affect your ability to participate in the plan. By consenting to these Terms and Conditions, you agree to the following: (i) you have carefully read, fully understand and agree to all of the terms and conditions described herein and the plan; and (ii) you understand and agree that these Terms and Conditions and the plan constitute the entire understanding between you and Marsh & McLennan Companies regarding the plan, and that any prior agreements, commitments or negotiations concerning the plan are replaced and superseded. You will be deemed to consent to the application of the terms and conditions set forth in these Terms and Conditions and the plan unless you contact Global Benefits. You may contact your local Stock Purchase Plan Administrator with any questions regarding the use of this site including for assistance in printing a section of this site or to receive a hardcopy of such section.
